Services Agreement
This Digital Marketing & Social Media Services Agreement ("Agreement") is entered into between the Lawanna Gelzer Campaign ("Client") and The Comeback Initiative Network LLC ("Contractor" or "TCBIN"), collectively referred to as "the Parties."
This Agreement establishes a professional relationship whereby The Comeback Initiative Network LLC will provide digital marketing, social media management, and online visibility services for the Lawanna Gelzer Campaign.
This Agreement shall begin on the date below and continue through Election Day, unless terminated pursuant to the terms of this Agreement.
TCBIN agrees to provide the following services:
Client agrees to provide timely access to:
- ▸Social media accounts
- ▸Campaign information
- ▸Photos and videos when available
- ▸Event schedules
- ▸Campaign announcements
- ▸Marketing approvals within a reasonable timeframe
In consideration of the services provided under this Agreement, Client agrees to provide TCBIN with the following dedicated workspace and facility access. Please fill in the exact workspace details below:
- ▸Access to internet service when available
- ▸Access to meeting space when available
- ▸Reasonable access during normal business hours
The office space may be used for administrative operations, content creation, campaign support activities, and nonprofit administrative functions. Access to office space is a material part of this Agreement.
In lieu of monetary compensation, the parties agree that office space, facility access, internet access, and related accommodations provided by Client constitute full and adequate consideration for the services provided by TCBIN under this Agreement.
Either party may terminate this Agreement with fourteen (14) days written notice. Client agrees that office space access shall remain available during the full notice period.
TCBIN shall operate as an independent contractor and not as an employee of the Campaign. Nothing in this Agreement shall create a partnership, joint venture, or employment relationship between the Parties.
Both parties agree to maintain confidentiality regarding campaign information, strategic plans, donor information, volunteer information, and other non-public information obtained during the course of this Agreement.
This Agreement shall be governed by the laws of the State of Florida.
This Agreement constitutes the entire understanding between the Parties and supersedes all prior negotiations or agreements. Any modifications must be made in writing and signed by both Parties.
